TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (hereinafter, the "Terms") govern the access, use, and operation of the web platform "Ticketbeep" (hereinafter, the "Platform"), operated by Ticketbeep, Corp., with its principal address at 111 NE 1st Street, 8th Floor #8911, Miami, FL, US 33132 (hereinafter, the "Company"). By registering, accessing, or using the Platform, the user (hereinafter, the "User") unconditionally agrees to these Terms, as well as to our Privacy Policy (the "Privacy Policy") and any other legal notices published on the Platform.
1. DEFINITIONS
For the purposes of these Terms, the following definitions apply:
- Platform: Website, mobile applications, and other digital media operated by Ticketbeep, Corp. that offer various services.
- Information and Analytics Module: Free service that provides analysis, statistics, demographic data, charts, and reports about the U.S. music industry market, segmented by location (states) and other indicators.
- Media Plan Module: Premium service, paid through the use of "credits" purchased by the User via the Platform, offering automated consulting for the design and optimization of marketing campaigns targeting events and concerts. This service is delivered through an Artificial Intelligence (AI) system that generates recommendations based on parameters provided by the User (such as budget, target audience, music genre, among others).
- Account: Individual registration created by the User allowing access to the Platform and its services, which involves the assignment of a specific role.
- Roles and Access: Classification of users that determines the scope and permissions within the Platform. These include:
- Administrator: Internal user responsible for managing, administering, and technically maintaining the Platform.
- Free User: User who, upon registration, accesses the Information and Analytics Module free of charge, with limited permissions for data consultation.
- Premium User (Media Plan): User who accesses the Media Plan Module with automated consulting, through credit payments made on the Platform.
- Specialist/Advisor (as applicable): Professional assigned to oversee system operation and, where appropriate, supplement the automated consulting. Their access is restricted to only the information necessary to perform their duties.
- Content: All materials, information, data, text, images, graphics, logos, software, source code, databases, and other elements made available on the Platform.
2. ACCEPTANCE OF THE TERMS
By accessing, browsing, or using the Platform, the User fully accepts these Terms and agrees to comply with them. If the User disagrees with any of the provisions herein, they must refrain from using the Platform.
3. PURPOSE AND DESCRIPTION OF SERVICES
3.1 Information and Analytics Module (Free Service)
- Description: Provides analysis, reports, visualizations, and statistical data about the U.S. music market, segmented by location (e.g., state) and other relevant indicators.
- Scope: The information is provided for informational and guidance purposes, using reliable sources; however, absolute accuracy is not guaranteed, and no liability is assumed for decisions made based on such data.
3.2 Media Plan Module (Premium Service)
- Description: Advisory service for the development and optimization of marketing campaigns for events and concerts, provided through an automated system based on Artificial Intelligence (AI).
- Functionality: The AI system generates marketing recommendations and plans based on the information provided by the User (budget, target audience, music genre, etc.).
- Nature of the Consulting: The recommendations are for guidance purposes only; the Company does not guarantee specific results or commercial gains from implementing such recommendations.
- Credit Model: The service is accessed through the purchase of "credits" on the Platform, which are used to obtain the services.
4. REGISTRATION, ACCOUNTS, AND ROLES
- Registration: Access to the Platform requires creating an Account. The User is obligated to provide truthful, accurate, and up-to-date information.
- Account Security: The User is solely responsible for maintaining the confidentiality of their login credentials and agrees to immediately notify the Company of any unauthorized use or suspected security breach of their Account.
- Role Assignment and Modification: The Company will assign each User a role according to the services contracted and reserves the right to modify, limit, or revoke such roles in the event of non-compliance or for operational and security reasons.
- Legal Requirements: The User represents that they have the legal capacity to enter into and fulfill the obligations set forth in these Terms and to use the Platform.
5. CREDITS AND PAYMENTS
- Plans and Fees: Access to the Media Plan Module is made through the purchase of "credits," the value of which is detailed on the Platform and may be updated from time to time.
- Refund Policy: Refund requests must be submitted within five (5) calendar days from the date the charge was made. If no request is received within this period, the charge will be considered valid and non-refundable. Once a request is submitted, Ticketbeep, Corp. will review the request based on the information and documentation provided by the User. The Company will issue a decision within ten (10) calendar days from the date of the request. Refunds are not guaranteed and will be granted only in exceptional cases, at the sole discretion of the Company.
6. INTELLECTUAL PROPERTY
- Ownership: All content and materials included on the Platform are the exclusive property of Ticketbeep, Corp. or third-party licensors and are protected by national and international intellectual property laws.
- License of Use: The User is granted a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely in connection with the services contracted and in accordance with these Terms and Conditions. This license does not grant any ownership rights over the Platform or any of its components.
- Restrictions on Use: The User is expressly prohibited from reproducing, distributing, modifying, transforming, displaying, performing, exploiting, creating derivative works from, decompiling, reverse-engineering, or attempting to extract the Platform's source code, except with the Company's prior, express, and written authorization.
- Trademarks and Logos: Unauthorized use of any trademarks, logos, trade names, or other distinctive signs appearing on the Platform is strictly prohibited. All rights to such elements belong to Ticketbeep, Corp. or their respective holders.
- Non-Infringement Obligation: The User agrees not to register, claim ownership of, or interfere in any way with the Company's intellectual property rights. The User shall also refrain from using the Platform for any unlawful purposes or contrary to its intended use.
- Data Scraping Prohibition: The use of automated systems or any technology to access, extract, collect, or store information from the Platform without the Company's express consent is strictly prohibited (including but not limited to "data scraping," "web scraping," or similar techniques).
7. CONFIDENTIALITY, DATA PROTECTION, AND PRIVACY
- Confidentiality Obligations: The Company and the User agree to maintain strict confidentiality of all confidential, technical, commercial, financial, operational, or any other type of information to which they have direct or indirect access by virtue of using the Platform, even after the relationship between the parties has ended. Such information may not be disclosed, transmitted, or used for purposes other than those expressly authorized, except when required by law or court order, in which case prior notification must be given to the party owning the information.
- Personal Data Protection: The collection, processing, storage, use, and, where applicable, transfer of the User's personal data will be carried out in compliance with the applicable data protection legislation, including, but not limited to, the Personal Data Protection Law corresponding to the territory from which the User operates. The User acknowledges having read and accepted the Company's Privacy Policy, which is an integral part of these Terms and Conditions and details the purposes of processing, legal basis, rights of the data subject, and how to exercise them.
- Security Measures: The Company commits to implementing the necessary technical, administrative, and organizational security measures to guarantee the confidentiality, integrity, availability, and resilience of the personal data processed, as well as to prevent loss, alteration, unauthorized access, or improper processing.
- Data Sharing and Transfers: The User agrees that the Company may share or transfer personal data to third-party service providers that assist in the operation of the Platform, provided that such third parties contractually agree to comply with equivalent data protection standards. In the case of international transfers, an adequate level of protection will be guaranteed in accordance with applicable regulations.
- Use of Cookies and Similar Technologies: The Platform uses first- and third-party cookies, as well as similar technologies, to improve browsing experience, analyze usage patterns, and provide personalized content. The User may configure, accept, or reject these technologies as set forth in the Privacy Policy and browser settings.
- Informed Consent: By using the Platform, the User expressly consents to the processing of their personal data in accordance with the terms described in these Terms and the Privacy Policy. The User may withdraw such consent at any time through the mechanisms provided, without retroactive effect.
8. PROHIBITED ACTIVITIES
To ensure the integrity and proper functioning of the Platform, the User agrees to refrain from performing the following actions:
Manipulation or Interference:
- Not to decompile, disassemble, reverse engineer, or attempt to access the source code or internal logic of the system, including AI algorithms.
- Not to interfere with, disrupt, or damage the operation of the Platform, servers, or connected networks.
Unauthorized Access:
- Not to attempt to access areas of the Platform, data, or accounts for which the User is not authorized.
- Not to use automated methods or "scraping" to extract data without express authorization.
Misleading Information and Fraud:
- Not to provide false, misleading, or manipulated information during registration or use of the Platform.
- Not to engage in activities intended to defraud or harm the Company or other Users.
Distribution of Harmful Content:
- Not to upload, transmit, or distribute viruses, malware, spam, or other code that may affect the Platform's stability or security.
Improper Use of the AI System:
- Not to attempt to manipulate, deceive, or abuse the Artificial Intelligence system operating the Media Plan Module by altering parameters to obtain irregular or fraudulent recommendations.
Violation of Third-Party Rights:
- Not to use the Platform to infringe intellectual property rights, privacy, or any other rights of third parties.
Conduct Contrary to Law:
- Not to use the Platform for illegal, defamatory, obscene activities, or acts that contravene morality or public order.
The Company reserves the right to suspend or immediately terminate the accounts of Users who engage in any prohibited activities and to pursue any appropriate legal actions.
9. DISCLAIMERS AND WARRANTY EXCLUSIONS
- Availability and Operation: The Platform is provided "as is" and "as available," without any warranties, express or implied, regarding continuity, availability, or error-free performance of the services offered.
- Automated Recommendations: The Media Plan Module offers automated AI-based advice for guidance only; the Company does not guarantee specific results nor is responsible for the implementation of the recommendations.
- Limitation of Liability: Under no circumstances shall Ticketbeep, Corp. or its representatives be liable for direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform.
- Force Majeure: The Company shall not be liable for failures or interruptions in services caused by force majeure events or circumstances beyond its control (including, but not limited to, Internet connection failures, cyber-attacks, natural disasters, acts of authorities, among others).
10. INDEMNIFICATION
The User agrees to indemnify and hold harmless Ticketbeep, Corp. and its directors, employees, agents, and affiliates from any claims, demands, losses, liabilities, expenses, or damages (including attorney's fees and legal costs) arising out of or related to:
- The User's breach of these Terms.
- Improper or fraudulent use of the Platform.
- Violation of third-party rights or any applicable laws or regulations.
11. MODIFICATION OF TERMS
- Updates: Ticketbeep, Corp. reserves the right to modify and update these Terms at any time without prior notice. Changes will take effect upon publication on the Platform.
- Binding Nature: It is the User's responsibility to periodically review these Terms to stay informed of any changes. Continued use of the Platform will be deemed acceptance of such changes.
12. TERM AND TERMINATION
- Duration: These Terms shall remain in effect while the User uses the Platform.
- Termination by the Company: The Company may suspend, limit, or terminate the User's account, temporarily or permanently, if the User breaches these Terms, engages in prohibited activities, or compromises the security, integrity, or operation of the Platform.
- Effects of Termination: Upon termination, all permissions and access to the Platform will be revoked, and the User must immediately cease use of all content and services.
13. GOVERNING LAW AND DISPUTE RESOLUTION
- Applicable Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Ticketbeep, Corp. operates.
- Jurisdiction: The parties submit to the exclusive jurisdiction of the competent courts of the State of Florida, United States of America, expressly waiving any other jurisdiction that may apply.
- Alternative Dispute Resolution: Before resorting to litigation, the User agrees to attempt to resolve any disputes amicably, potentially using mediation or arbitration if agreed upon by the parties.
14. GENERAL PROVISIONS
- Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices posted on the Platform, constitute the entire agreement between the User and Ticketbeep, Corp. regarding their subject matter and supersede any prior agreements or communications, whether oral or written.
- Severability: If any provision of these Terms is declared null or unenforceable, it shall not affect the validity or enforceability of the remaining provisions.
- Waiver: The failure of Ticketbeep, Corp. to enforce strict compliance with any provision of these Terms shall not be construed as a waiver of such right.
- Notices: Any notice or communication between the User and the Company shall be made by email, Platform notifications, or other means designated by the Company in due course.

These Terms and Conditions of Use are an integral part of the legal framework governing the use of the Ticketbeep Platform. By using our services, you agree to these terms and acknowledge that you have read and understood all provisions contained herein.
